1. Introduction

These Terms of Service ("Terms") govern your access to and use of Peer Assembly Ltd's Markdown Vault service, website, and related applications (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old (or the age of digital consent in your jurisdiction) and legally able to enter into this agreement.

3. Accounts

You agree to provide accurate account information, keep your password and credentials secure, and promptly notify us of unauthorized account use.

You are responsible for activity under your account unless caused by our breach of security obligations.

4. Acceptable Use

You may use the Service only in compliance with applicable law and these Terms.

You may not use the Service for unlawful, harmful, or fraudulent activity; upload malware or attempt to disrupt the Service; access or scrape the Service by unauthorized automated means; reverse engineer or attempt to discover source code, except where law permits; or infringe intellectual property or privacy rights.

5. User Content

"User Content" means markdown files, text, media, comments, and other material you upload or create in the Service.

You retain ownership of your User Content.

You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display User Content solely to provide, maintain, improve, and secure the Service.

You represent that you have all rights needed to submit User Content.

6. Sharing and Collaboration (if enabled)

If you share content with others, you are responsible for your sharing settings and permissions. We are not responsible for recipients' actions once content is shared by you.

7. Prohibited Content

You may not store or share content that is illegal, infringing, exploitative, or otherwise prohibited by law. We may remove prohibited content and/or suspend accounts for violations.

8. Privacy

Our collection and use of personal data is described in our Privacy Policy. By using the Service, you acknowledge that policy.

9. Intellectual Property

The Service, including software, design, logos, and trademarks, is owned by Peer Assembly Ltd or licensors and protected by law.

We grant you a limited, revocable, non-transferable license to use the Service under these Terms.

10. Paid Plans, Billing, and Refunds (if applicable)

If you subscribe to a paid plan, fees, billing intervals, and included features are described at checkout; subscriptions renew automatically unless canceled before renewal; you authorize us (or our payment processor) to charge applicable fees and taxes. Payments are non-refundable except where required by law.

We may change prices with 30 days advance notice.

11. Third-Party Services

The Service may integrate with third-party tools (e.g., authentication, cloud storage, payment processors). Their terms and privacy policies apply to their services.

12. Service Changes and Availability

We may update, modify, or discontinue features from time to time.

While we aim for reliable availability, the Service is provided on an "as available" basis and may experience interruptions.

13. Suspension and Termination

You may stop using the Service at any time.

We may suspend or terminate access if you violate these Terms, pose risk to the Service, or where required by law.

Upon termination, your right to use the Service ends.

14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PEER ASSEMBLY LTD WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF DATA, PROFITS, OR REVENUE.

OUR TOTAL LIABILITY FOR ANY CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR USD 500.

16. Indemnification

You agree to defend, indemnify, and hold harmless Peer Assembly Ltd from claims, liabilities, and expenses arising from your User Content, misuse of the Service, or violation of these Terms.

17. Governing Law and Disputes

These Terms are governed by the laws of Ireland, excluding conflict-of-law rules.

Disputes will be resolved in Ireland.

18. Changes to These Terms

We may update these Terms from time to time. If changes are material, we will provide notice (e.g., by email or in-app notice). Continued use after the effective date means acceptance.

19. General Terms

If any provision is unenforceable, the rest remain in effect.

Our failure to enforce a provision is not a waiver.

You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or asset sale.
